Умови користування платформою CLUETerms and Conditions

Ці Умови користування («Умови») регулюють доступ до платформи CLUE, її веб-сайтів та пов’язаних продуктів і послуг (разом — «Сервіс»), що надаються ФОП Заник Назар Михайлович (РНОКПП 3712601851), який здійснює діяльність під брендом CLUE («CLUE», «ми»). Створюючи обліковий запис, підписуючи Замовлення або використовуючи Сервіс, ви («Клієнт», «ви») погоджуєтеся дотримуватися цих Умов.

Примітка: ця українська версія узгоджена за логікою з англомовною, але може деталізуватися юристом для окремих контрактів з резидентами України.

1. Обсяг Сервісу та ліцензія

1.1 Надання доступу

Протягом строку підписки, зазначеного в Замовленні (у т.ч. онлайн-оферті), CLUE надає Клієнту доступ до Сервісу відповідно до цих Умов та технічної документації («Документація»). Сервіс включає запис дзвінків, розпізнавання мовлення, аналітику, дашборди та інші функції, описані на сайті CLUE та в Документації.

1.2 Ліцензія на використання

За умови виконання цих Умов і своєчасної оплати, CLUE надає Клієнту невиключне, невідчужуване, обмежене право доступу та використання Сервісу лише для внутрішніх бізнес-цілей Клієнта протягом строку, визначеного в Замовленні, відповідно до Документації та ліцензійних обмежень (кількість користувачів, ліміт дзвінків тощо).

1.3 Авторизовані користувачі та афілійовані особи

Клієнт може надавати доступ своїм працівникам та підрядникам («Авторизовані користувачі») і несе відповідальність за їх дії. Афілійовані особи Клієнта можуть користуватися Сервісом через акаунт Клієнта, якщо це прямо погоджено, при цьому Клієнт залишається відповідальним за їхню поведінку.

2. Обов’язки Клієнта

2.1 Обліковий запис і безпека

Клієнт зобов’язаний:

  • надавати точну та актуальну інформацію при реєстрації та виставленні рахунків;
  • забезпечувати конфіденційність логінів та паролів;
  • негайно повідомляти CLUE про будь-який несанкціонований доступ чи використання облікових даних.

2.2 Дані Клієнта

«Дані Клієнта» — будь-яка інформація, аудіо, транскрипти, метадані, теги та інший контент, який передається або генерується в Сервісі Клієнтом чи від його імені. Клієнт несе повну відповідальність за:

  • законність запису та обробки дзвінків;
  • наявність усіх необхідних згод та прав (зокрема щодо персональних даних співробітників, клієнтів, контрагентів);
  • відповідність обробки Даних Клієнта вимогам законодавства України, а для клієнтів з ЄС — вимогам GDPR.

2.3 Дотримання законодавства і умов третіх сторін

Клієнт використовує Сервіс відповідно до: цих Умов та Документації; застосовного законодавства (Україна, ЄС/UK — залежно від юрисдикції договору); умов використання третіх систем, що інтегруються з Сервісом (IP-телефонія, CRM, TMS тощо).

CLUE може тимчасово призупинити доступ до Сервісу у разі порушення Умов або загрози безпеці, за можливості попередньо повідомивши Клієнта.

3. Прийнятне використання

Клієнт не має права, і не має дозволяти будь-якій особі:

  • використовувати Сервіс переважно для особистих/побутових дзвінків;
  • передавати, продавати, субліцензувати або будь-як комерційно надавати доступ до Сервісу третім особам, окрім випадків, прямо дозволених Умовами;
  • видаляти або приховувати торговельні марки й повідомлення про права CLUE;
  • намагатися отримати доступ до систем чи даних CLUE, які не призначені для Клієнта;
  • обходити механізми безпеки або обмеження трафіку;
  • використовувати Сервіс для створення конкурентного продукту аналізу дзвінків;
  • здійснювати реверс-інжиніринг, декомпіляцію чи розбирати програмний код Сервісу, за винятком випадків, передбачених законом;
  • використовувати Сервіс для поширення шкідливого коду або здійснення протиправної діяльності.

4. Права інтелектуальної власності, AI та субпроцесори

4.1 Права CLUE

Усі права інтелектуальної власності щодо Сервісу, Документації та пов’язаних технологій належать CLUE. Клієнту надається лише обмежене право використання Сервісу, прямо передбачене цими Умовами.

4.2 Ліцензія на Дані Клієнта

Клієнт надає CLUE невиключне, безоплатне право обробляти Дані Клієнта (зберігати, копіювати, передавати, відображати) у межах строку дії Угоди виключно з метою: надання Сервісу; підтримки його працездатності; формування аналітики та дашбордів для Клієнта. CLUE не набуває права власності на Дані Клієнта.

4.3 Використання AI та тренування моделей

CLUE використовує моделі машинного навчання та ШІ (у т.ч. сторонні) для аналізу дзвінків і формування інсайтів. CLUE не використовує записи дзвінків і транскрипти Клієнта для тренування загальних моделей, спільних для інших клієнтів, без окремої письмової згоди Клієнта.

Важливо: Інсайти, оцінки й рекомендації, що генеруються Сервісом, є інструментом підтримки прийняття рішень та не є юридичною, фінансовою чи бізнес-консультацією. Кінцеві комерційні рішення Клієнт приймає самостійно.

4.4 Субпроцесори

Для роботи Сервісу CLUE залучає сторонніх постачальників (хостинг, сховище даних, STT/AI, e-mail, OAuth). Актуальний список субпроцесорів опубліковано в Додатку B до DPA; CLUE укладає з ними договори обробки даних відповідно до вимог законодавства про захист персональних даних та/або GDPR.

5. Підписки, строк і оплата

5.1 Плани підписки

Умови підписки (тип плану, кількість користувачів, ліміти дзвінків, строк зберігання аудіо тощо) визначаються у Замовленні або в онлайн-інтерфейсі тарифів. Придбання підписки не залежить від майбутніх функцій чи публічних обіцянок.

5.2 Строк дії Угоди та підписок

Угода набирає чинності з моменту прийняття Умов або першого використання Сервісу й діє до закінчення всіх підписок або їх припинення. Якщо інше не передбачено, підписки автоматично продовжуються на наступні періоди (наприклад, 12 місяців), якщо жодна зі сторін не повідомить іншу про відмову від продовження за 60 днів до кінця поточного строку.

5.3 Оплата

Розмір, валюта та графік оплат визначаються у Замовленні. Якщо інше не погоджено: рахунки підлягають оплаті протягом 30 днів; суми не підлягають поверненню, окрім випадків, прямо передбачених Угодою; Клієнт несе відповідальність за всі податки (крім податків на дохід CLUE); прострочені суми можуть обкладатися відсотками (але не більше максимально допустимого законом), а CLUE має право призупинити доступ до Сервісу після попередження.

6. Рівень сервісу (SLA) та підтримка

6.1 Гарантія доступності

CLUE докладатиме комерційно розумних зусиль, щоб забезпечити місячну доступність виробничого середовища Сервісу на рівні не менше 99,9% («Ціль доступності»), за винятком «Обґрунтованих простоїв» (планові роботи, форс-мажор, проблеми на стороні Клієнта та третіх осіб).

6.2 Сервіс-кредити

Якщо фактична доступність за місяць (без врахування Обґрунтованих простоїв) нижча за Ціль доступності, Клієнт може претендувати на сервіс-кредити — знижку на майбутні платежі:

  • доступність ≥ 99,0% але < Цілі доступності: кредит 10% від місячної плати;
  • доступність ≥ 95,0% але < 99,0%: кредит 25% від місячної плати;
  • доступність < 95,0%: кредит 50% від місячної плати.

Щоб отримати кредит, Клієнт має подати письмовий запит протягом 30 днів після закінчення відповідного місяця, із зазначенням деталей інцидентів. Максимальна сума кредитів за один місяць не перевищує 50% місячної плати; кредити є єдиним грошовим засобом захисту Клієнта у випадку порушення SLA.

6.3 Підтримка

CLUE надає стандартну підтримку електронною поштою та/або через інтерфейс Сервісу в робочі дні, 09:00–18:00 (за часом провайдера), крім офіційних вихідних. Цільові строки первинної відповіді:

  • P1 (повний збій): до 2 годин;
  • P2 (істотна деградація): до 8 годин;
  • P3 (звичайна помилка): до 1 робочого дня.

7. Конфіденційність

Сторони зобов’язуються не розголошувати конфіденційну інформацію одна одної (включно з Даними Клієнта, дорожньою картою продукту, ціноутворенням, технічною та безпековою інформацією) і використовувати її лише для виконання Угоди, за винятком випадків, прямо передбачених законом.

8. Гарантії та відмова від відповідальності

CLUE гарантує, що Сервіс надається професійно та загалом відповідає Документації; якщо істотні невідповідності не можуть бути усунені у розумний строк, Клієнт має право розірвати відповідну підписку з пропорційним поверненням передплати. Усі інші гарантії (прямі/неявні) виключаються в межах, допустимих законодавством.

9. Відшкодування збитків та обмеження відповідальності

Як і передбачено стандартною практикою SaaS-договорів: кап відповідальності кожної сторони обмежується сумою оплат за останні 12 місяців; непрямі й побічні збитки (втрата прибутку, даних) виключаються; CLUE відшкодовує збитки за порушення прав інтелектуальної власності, а Клієнт — за порушення, пов’язані з Даними Клієнта, незаконним записом дзвінків чи порушенням закону.

10. Захист даних

Обробка персональних даних регулюється окремою Угодою про обробку даних (DPA), яка має пріоритет щодо питань приватності та безпеки. CLUE забезпечує технічні й організаційні заходи захисту даних та повідомляє про інциденти безпеки відповідно до вимог законодавства про захист персональних даних та/або GDPR.

11. Припинення Угоди та вихід із Сервісу

Сторони можуть розірвати Угоду за істотного порушення зі строком на усунення 30 днів. Після припинення Клієнт має 30 днів на запит експорту Даних Клієнта, після чого CLUE може їх видалити, якщо закон не вимагає зберігання. CLUE може надавати мінімальну технічну допомогу для міграції за окремою домовленістю.

12. Загальні положення

Застосовним правом для всіх Клієнтів, незалежно від країни реєстрації, є право України. Спори, які не вдалося врегулювати шляхом переговорів, розглядаються в компетентному суді України за місцем реєстрації CLUE (Івано-Франківська область), якщо інше прямо не погоджено сторонами в Замовленні.

These Terms and Conditions (“Terms”) govern access to and use of the CLUE platform, websites and related products and services (collectively, the “Services”) provided by Individual Entrepreneur (FOP) Nazar Zanyk (Ukrainian tax ID / RNOKPP 3712601851), operating under the CLUE brand (“CLUE”, “we”, “us”). By creating an account, signing an order form or using the Services, you (“Customer”, “you”) agree to be bound by these Terms.

1. Scope of Services and License

1.1 Provision of Services

During the subscription term specified in the applicable order form or online checkout (“Order Form”), CLUE will provide Customer with access to the Services in accordance with these Terms and CLUE’s technical documentation (“Documentation”). The Services include, among other things, call recording, speech-to-text, call analytics, dashboards and related features, as described on the CLUE website and in the Documentation.

1.2 License Grant

Subject to these Terms and full payment of applicable fees, CLUE grants Customer a non-exclusive, non-transferable, limited license to access and use the Services during the subscription term, solely for Customer’s internal business purposes and in accordance with the Documentation and Order Form (including user/usage limits).

Customer may authorize its employees and individual contractors to use the Services under Customer’s account (“Authorized Users”). Customer is responsible for all activities of Authorized Users and for ensuring they comply with these Terms.

1.3 Usage Metrics

The scope of Customer’s license (e.g., number of seats, number of recorded calls per month, number of workspaces/environments) is set out in the Order Form. Customer must not intentionally circumvent usage limits (for example, by sharing individual seats among multiple users).

1.4 Affiliates

“Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with a party. Customer may permit its Affiliates to use the Services under Customer’s account, provided that Customer remains fully responsible for such Affiliates’ compliance with these Terms. CLUE may allow Affiliates to contract directly with CLUE under separate Order Forms that reference these Terms, in which case a separate agreement is formed with that Affiliate.

2. Customer Responsibilities

2.1 Accounts and Security

Customer will:

  • provide accurate and up-to-date registration and billing information;
  • maintain the confidentiality of usernames and passwords;
  • promptly notify CLUE of any unauthorized access or use of the Services or account credentials.

2.2 Customer Data

“Customer Data” means any data, audio, transcripts, metadata, notes, tags and other information submitted to the Services by or for Customer, or generated by the Services for Customer (excluding CLUE’s underlying models and algorithms). Customer is solely responsible for:

  • the accuracy, quality and legality of Customer Data;
  • obtaining all necessary consents and having a lawful basis to record calls and process personal data;
  • ensuring that its use of the Services with Customer Data complies with applicable laws (including call-recording, telecommunications and data-protection laws).

2.3 Compliance and Third-Party Services

Customer will use the Services in accordance with: these Terms, Documentation and Order Forms; all applicable laws and regulations; the terms of use and license conditions of any third-party systems integrated with the Services (such as IP-telephony providers, CRM systems, logistics platforms).

CLUE may temporarily suspend access to the Services if Customer’s use (a) violates these Terms or applicable law, or (b) poses a security or availability risk. CLUE will use reasonable efforts to notify Customer and allow it to remedy the issue before suspension where practicable.

3. Acceptable Use and Restrictions

Customer must not, and must not permit any Authorized User or third party to:

  • use the Services primarily for personal, consumer or non-business calls;
  • resell, sublicense, assign, lease, rent or otherwise commercially exploit the Services to third parties, except as expressly permitted in these Terms;
  • remove, obscure or alter any proprietary notices or CLUE trademarks appearing in the Services;
  • access any CLUE system, data or interface not expressly made available to Customer;
  • attempt to bypass or interfere with security, rate-limiting or traffic management mechanisms;
  • use the Services to build, train or operate a product that is directly competitive with CLUE’s core offering in call analytics and revenue intelligence;
  • reverse engineer, decompile, disassemble or otherwise attempt to derive source code from any software underlying the Services, except to the limited extent permitted by applicable law;
  • use the Services to transmit malicious code or engage in illegal, harmful or abusive activities.

CLUE may, at its discretion, restrict or refuse access to the Services for direct competitors.

4. Intellectual Property, AI and Sub-Processors

4.1 Ownership of the Services

CLUE retains all right, title and interest in and to the Services, Documentation, underlying technology, designs, models, algorithms and all related intellectual property rights. No rights are granted to Customer other than as expressly set out in these Terms.

4.2 License to Customer Data

Customer grants CLUE a non-exclusive, worldwide, royalty-free license, for the term of the Agreement, to host, store, process, transmit, display and use Customer Data as necessary to: provide, maintain and improve the Services; prevent or address service or technical issues; generate insights, analytics and recommendations for Customer within the Services. CLUE does not acquire ownership in Customer Data.

4.3 AI Use and Training

CLUE uses machine learning and AI components (including, where applicable, third-party models) to analyze calls and provide insights. CLUE will not use Customer’s call recordings and transcripts to train general-purpose models shared across customers without Customer’s explicit written consent. Any model fine-tuning performed for Customer will be scoped to Customer’s environment, unless otherwise agreed in writing.

AI disclaimer: Insights, scores and recommendations generated by the Services are intended as decision-support only. They do not constitute legal, financial or business advice, and Customer remains solely responsible for all decisions made based on such outputs.

4.4 Feedback

If Customer or Authorized Users provide feedback or suggestions regarding the Services (“Feedback”), Customer grants CLUE a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback into CLUE’s products and services without obligation.

4.5 Sub-Processors

To deliver the Services, CLUE engages certain third-party providers (“Sub-Processors”), which may include: hosting, data storage, STT/AI engines, e-mail delivery and authentication providers. The current list is published in Annex B of the DPA. CLUE will ensure appropriate data-processing agreements with such Sub-Processors in line with applicable data-protection laws.

For enterprise customers, CLUE may provide advance notice of new Sub-Processors and a reasonable opportunity to object, as set out in the Data Processing Agreement (DPA).

5. Subscriptions, Term and Fees

5.1 Subscriptions

Access to the Services is purchased as subscriptions, as specified in the Order Form (e.g. plan tier, number of seats, call limits, retention periods). Customer’s purchase is not contingent upon the delivery of future features or on public statements by CLUE about future functionality.

5.2 Term of Agreement and Subscriptions

These Terms become effective when Customer first accepts them or first uses the Services and remain in effect until all subscriptions have expired or been terminated. Each subscription term is defined in the Order Form.

Unless otherwise stated in the Order Form, subscriptions renew automatically for successive one-year periods unless either party gives written notice of non-renewal at least sixty (60) days before the end of the then-current term. CLUE will notify Customer of upcoming renewal and any price changes in advance, via e-mail or in-app notice.

5.3 Fees and Payment

Fees, billing period and payment method are defined in the Order Form. Unless otherwise agreed: invoices are payable within thirty (30) days of the invoice date; fees are non-cancellable and non-refundable, except as expressly provided in these Terms; Customer is responsible for all applicable taxes (such as VAT, sales or consumption taxes), other than taxes on CLUE’s income; overdue amounts may accrue interest at the lower of one percent (1%) per month or the maximum rate permitted by law; CLUE may suspend the Services after prior notice if amounts remain unpaid.

6. Service Levels (SLA) and Support

6.1 Uptime Commitment

CLUE will use commercially reasonable efforts to make the production environment of the Services available with a monthly uptime of at least 99.9% (“Uptime Target”), measured over each calendar month, excluding Excused Downtime.

“Excused Downtime” includes: scheduled maintenance windows notified at least 48 hours in advance; emergency maintenance required to address critical security or performance issues; outages caused by factors outside CLUE’s reasonable control (e.g. ISP failures, force majeure events, Customer-side connectivity); downtime resulting from Customer’s use of the Services contrary to these Terms or Documentation; outages attributable to third-party systems not controlled by CLUE (e.g. external IP-telephony, CRM, e-mail providers).

6.2 Service Credits

If CLUE fails to meet the Uptime Target in a given calendar month (excluding Excused Downtime), Customer may be eligible for service credits applied against future fees, calculated as a percentage of the monthly subscription fees for the affected Services:

  • Monthly uptime ≥ 99.0% but < Uptime Target: 10% credit of monthly fees.
  • Monthly uptime ≥ 95.0% but < 99.0%: 25% credit of monthly fees.
  • Monthly uptime < 95.0%: 50% credit of monthly fees.

To receive a credit, Customer must submit a written request within thirty (30) days after the end of the month in which the SLA breach occurred, with reasonable evidence of the outage. Credits will be applied to the next invoice or, if no future invoices remain, issued as a refund upon request. The maximum aggregate credits for any month will not exceed fifty percent (50%) of the fees paid for the affected month. Service credits are Customer’s sole and exclusive monetary remedy for breach of the uptime commitment.

6.3 Support

CLUE provides standard support via e-mail and/or in-app support:

  • Support hours: business days, 09:00–18:00 (provider time zone), excluding public holidays;
  • Priority 1 (production outage): target initial response within 2 hours;
  • Priority 2 (major degradation): target initial response within 8 hours;
  • Priority 3 (functional issue): target initial response within 1 business day.

Exact support channels and tiers may be further specified in the Documentation or Order Form.

7. Confidentiality

7.1 Definition

“Confidential Information” means non-public information disclosed by one party to the other, which is marked or reasonably understood as confidential, including Customer Data, product roadmaps, pricing, security and technical information. Confidential Information excludes information that is publicly available without breach, already in the receiving party’s lawful possession, independently developed, or rightfully obtained from a third party without confidentiality obligations.

7.2 Obligations

Each party will: use Confidential Information only for purposes of the Agreement; protect Confidential Information with at least reasonable care; not disclose Confidential Information to third parties except to employees, contractors or advisors who need to know and are bound by similar confidentiality obligations.

Disclosure required by law or court order is permitted, provided the receiving party (where lawful) gives prompt notice to the disclosing party and cooperates to limit the scope of disclosure.

8. Warranties and Disclaimers

8.1 Limited Warranty

CLUE warrants that it will provide the Services in a professional manner and substantially in accordance with the Documentation. If the Services materially fail to conform to the Documentation, Customer’s exclusive remedy is for CLUE to use reasonable efforts to correct the non-conformity; if CLUE cannot do so within a reasonable time, Customer may terminate the affected subscription and receive a pro-rated refund of prepaid fees for the unused portion of the term.

8.2 Disclaimer

Except as expressly provided in Section 8.1 and to the maximum extent permitted by law, the Services are provided “as is” and “as available”. CLUE makes no other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, error-free or produce any particular business result.

9. Indemnification

9.1 Indemnity by CLUE (IP)

CLUE will defend Customer against third-party claims alleging that the core CLUE technology, when used as permitted by these Terms, directly infringes a patent, copyright or trademark, and will pay damages finally awarded or agreed in settlement. CLUE may, at its option: modify the Services to avoid infringement; replace the Services with a substantially equivalent service; or terminate the affected subscription and refund prepaid fees for the unused term.

This obligation does not apply to claims arising from combinations with non-CLUE products, modifications by Customer, misuse, use contrary to Documentation, or Customer Data.

9.2 Indemnity by Customer (Data and Use)

Customer will defend CLUE against third-party claims arising from: Customer Data (including alleged unlawful recording, processing or disclosure of personal data); Customer’s use of the Services in violation of law or these Terms; and will pay damages finally awarded or agreed in settlement.

10. Limitation of Liability

10.1 Cap on Liability

Except for (a) Customer’s payment obligations, and (b) each party’s indemnification obligations, each party’s aggregate liability arising out of or related to the Agreement will not exceed the total fees paid by Customer to CLUE for the Services in the twelve (12) months prior to the event giving rise to the claim.

10.2 Exclusion of Consequential Damages

Neither party will be liable for indirect, incidental, special, exemplary or consequential damages (including loss of profits or data), even if advised of the possibility of such damages, and even if a limited remedy fails of its essential purpose, to the extent permitted by law.

11. Data Protection and Security

11.1 Data Processing Agreement

CLUE’s processing of personal data within Customer Data is governed by a separate Data Processing Agreement (“DPA”). In case of conflict between these Terms and the DPA regarding personal data, the DPA prevails.

11.2 Security Measures and Breach Notification

CLUE implements technical and organizational measures designed to protect Customer Data against unauthorized access, loss or disclosure, including encryption in transit and at rest and access controls, as described in the Documentation or DPA. In the event of a personal-data breach, CLUE will notify Customer without undue delay as required by applicable data-protection laws.

11.3 Backup and Restoration

If Customer Data is lost or corrupted due to CLUE’s systems, CLUE will use reasonable efforts to restore it from the latest available backup. CLUE is not responsible for loss caused by Customer or third-party systems.

12. Termination and Data Export

12.1 Termination for Cause

Either party may terminate the Agreement with written notice if the other party materially breaches the Agreement and fails to cure such breach within thirty (30) days of receiving written notice.

12.2 Exit and Data Export

Upon termination or expiry: Customer’s right to use the Services ceases immediately; upon Customer’s written request made within thirty (30) days, CLUE will provide an export of Customer Data in a reasonable format (such as CSV/JSON for metadata and available audio/transcript exports), as further described in the Documentation; after this period, CLUE may delete Customer Data from its systems, unless applicable law requires retention.

CLUE may offer reasonable technical assistance for migration (such as guidance and documentation) on a time-and-materials basis if agreed.

13. Evaluation and Beta Services

CLUE may offer evaluation or beta access to certain features at no or reduced charge (“Evaluation Services” or “Beta Services”). Such services are provided for testing only, may be changed or discontinued at any time, are not guaranteed to be stable, and are provided without warranties. Production use is at Customer’s own risk.

14. Governing Law and General Provisions

14.1 Governing Law and Venue

For all Customers, regardless of country of incorporation, these Terms are governed by the laws of Ukraine, without regard to conflict-of-law rules. The exclusive venue for disputes is the competent courts of Ukraine at CLUE’s place of registration (Ivano-Frankivsk region), unless the parties expressly agree otherwise in the Order Form or mandatory law provides otherwise.

14.2 Assignment

Customer may not assign the Agreement without CLUE’s prior written consent, except in connection with a merger or sale of substantially all of Customer’s assets. CLUE may assign the Agreement to an Affiliate or successor.

14.3 Entire Agreement and Changes

These Terms, together with the DPA and Order Forms, constitute the entire agreement between the parties regarding the Services and supersede prior communications. CLUE may update these Terms by posting a revised version and, where required, providing notice. Continued use after the effective date of changes constitutes acceptance.

14.4 Notices

Legal notices to CLUE may be sent to [email protected] or to the postal address specified on the CLUE website. CLUE may send notices to Customer via e-mail to the address on record or via in-app notifications.

14.5 Independent Contractors

The parties are independent contractors. Nothing in the Agreement creates a partnership, joint venture or employment relationship, and neither party may bind the other without prior written consent.
